Manuel is Counsel in the Tax Group.
Manuel specialises in tax matters relating to M&A transactions, joint ventures, restructuring, real estate investments as well as finance. He advises clients on all tax-relevant aspects such as tax due diligence, structuring/tax planning, negotiation and implementation (including contractual implementation) of cross-border as well as domestic projects, both buy-side and sell-side.
Manuel has substantial tax expertise in the energy and infrastructure sectors, especially regarding onshore and offshore wind farms, photovoltaic and geothermal energy projects, as well as battery energy storage systems and fibre optic initiatives. In addition, Manuel brings extensive experience across the transport sector, particularly in maritime and rail, as well as within private equity.
Manuel regularly advises private equity funds, institutional investors, financial institutions, project developers, municipal utilities companies and others, from Germany and abroad.
- Advising Sustainable Development Capital LLP on its approximately €100m commitment to empact GmbH through its Green Energy Transition Fund (GETF).
- Advising Wirtschaftsbetriebe Neustadt am Rübenberge GmbH and Stadtnetze Neustadt am Rübenberge GmbH & Co. KG – both of which are part of the Ideenstadtwerke Group – on the spin-off and partial sale of their passive fibre optic networks to the ERGO Insurance Group and its asset manager MEAG.
- Advising NeXtWind, Germany’s leading provider of optimised energy hubs, using existing onshore wind farms, on the acquisition of twelve wind farms, with an envisaged generating capacity of well over 300 MW (increased from 140 MW).
- Advising Transport Holding Germany B.V., a subsidiary of state-owned Dutch railway company N.V. Nederlandse Spoorwegen, on the sale of its German Abellio rail services operations to BeNEX GmbH.
- Advising NeXtWind, Germany’s leading provider of optimised energy hubs, using existing onshore wind farms, on the acquisition of ten wind farms with an envisaged generating capacity of well over 300 MW (increased from 112 MW).
- Advising Eavor Technologies Inc. Group and Eavor Eavor Erdwärme Geretsried GmbH on the realisation of an innovative geothermal energy project in Geretsried, Bavaria for the purposes of the first commercial implementation of the Eavor-Loop-System.
- Advising enercity Erneuerbare GmbH on its acquisition of the ‘Horizon’ wind farm portfolio (60 onshore wind farms with a total capacity of 365 MW) from its former owners “Norderland-Gruppe”.

Manuel Rustler ist auf steuerliche Fragestellungen im Zusammenhang mit M&A-Transaktionen, Joint Ventures, Restrukturierungen, Immobilieninvestitionen sowie Finanzierungen spezialisiert. Er berät Mandanten zu sämtlichen steuerrelevanten Aspekten, insbesondere Tax Due Diligence, der steuerlichen Strukturierung/Steuerplanung, Verhandlung und der Umsetzung (einschließlich vertraglicher Umsetzung) grenzüberschreitender sowie nationaler Projekte, sowohl auf Käufer- als auch auf Verkäuferseite.
Manuel Rustler verfügt über umfassende steuerliche Expertise in den Bereichen Energie und Infrastruktur, insbesondere in Bezug auf Onshore- und Offshore-Windparks, Photovoltaik- und Geothermieprojekte sowie Batteriespeichersysteme und Glasfaserinitiativen. Darüber hinaus hat Manuel Rustler ausgewiesene Erfahrung im Transportsektor, insbesondere in den Bereichen Schifffahrt und Schienenverkehr, sowie im Private-Equity-Bereich.
Manuel Rustler berät regelmäßig Private-Equity-Fonds, institutionelle Investoren, Finanzinstitute, Projektentwickler, kommunale Versorgungsunternehmen und andere Mandanten aus dem In- und Ausland.
- Beratung der Sustainable Development Capital LLP hinsichtlich ihrer Beteiligungszusage von rund 100 Mio. € an die empact GmbH über den Green Energy Transition Fund (GETF).
- Beratung der Wirtschaftsbetriebe Neustadt am Rübenberge GmbH sowie der Stadtnetze Neustadt am Rübenberge GmbH & Co. KG, die Teil des Ideenstadtwerke-Konzerns aus Neustadt am Rübenberge sind, bei der Ausgliederung und dem teilweisen Verkauf ihrer passiven Glasfasernetze an die ERGO Versicherungsgruppe und deren Vermögensmanager MEAG.
- Beratung von NeXtWind, Deutschlands führendem Anbieter optimierter Energie Hubs, auf Basis bestehender Onshore Windparks, bei der Akquisition von zwölf Windparks mit einer geplanten Erzeugungskapazität von deutlich über 300 MW (erhöht von 140 MW).
- Beratung der Transport Holding Germany B.V., eine Tochtergesellschaft der staatlichen niederländischen Eisenbahngesellschaft N.V. Nederlandse Spoorwegen, beim Verkauf ihrer deutschen Abellio-Schienenverkehrsaktivitäten an die BeNEX GmbH.
- Beratung der NeXtWind, Deutschlands führendem Anbieter optimierter Energie Hubs, auf Basis bestehender Onshore Windparks, bei der Akquisition von zehn Windparks mit einer geplanten Erzeugungskapazität von deutlich über 300 MW (erhöht von 112 MW).
- Beratung von Eavor Technologies Inc. Group bei dem Erwerb eines 40%igen Anteils am Geothermieprojekt Geretsried in Bayern durch Chubu Global Investment B.V.
