WFW advises Omnes Capital on sale of Omniwatt to Italy’s ERG7 July 2021

Watson Farley & Williams (“WFW”) has advised private equity investor Omnes Capital on the legal due diligence and project aspects of its sale, via its Capenergie 3 fund, of Omniwatt to Italian energy group ERG.

Omniwatt currently operates a portfolio comprising five wind farms with a total capacity of 58 MW and two solar power plants with a combined capacity of 22 MW.

With €3.4bn of assets under management, Omnes Capital is a leading private equity investor in the infrastructure sector.

Specialising in renewable energy, ERG is a leader in the Italian wind market. With this acquisition, ERG enters the French photovoltaic market also and reaches a total installed capacity of c. 500 MW in France.

The multidisciplinary WFW Paris team that advised Omnes Capital was led by Regulatory and Public Law Partner Laurent Battoue supported by Senior Associate Antoine Bois-Minot and Associates Anthony Pilon and Marine Yzquierdo on the public law, regulatory and project contract aspects of the transaction, by Partner Thomas Rabain and Associate Mohamed Douib on corporate law matters and Associate Catherine Masquelet on real estate law.
