WFW advises Predica on share acquisition in Renvico wind portfolio22 December 2020

Watson Farley & Williams (“WFW”) has advised Predica, an investment subsidiary of Crédit Agricole Assurances, on its share acquisition in the Renvico 329 MW Franco-Italian wind portfolio from Engie.

Renvico is a renewable energy developer specialising in wind farm management and was acquired by Engie in March 2020. It operates a wind portfolio with total installed capacity of 329 MW, including 187 MW located in France and 142 MW in Italy.

WFW advised Predica on all legal due diligence and project-related aspects of the acquisition, including Italian tax law matters, as well as the SPA negotiations and investment documentation relating to the former.

The cross-border, multidisciplinary WFW team advising Predica was led by Paris Regulatory & Public Law Partner Laurent Battoue. He was assisted in Paris by Senior Associate Antoine Bois-Minot and Associate Anthony Pilon on the regulatory matters, Associate Marine Yzquierdo on the project contracts, Associate Gautier Dupuy on real estate law and by Partner Thomas Rabain, supported by Senior Associate Pierre Thévenin-Montefiore and Associate Mohamed Douib, on French corporate matters.

Italian law advise was provided by WFW Italy Head Eugenio Tranchino and Rome Corporate Partner Tiziana Manenti, supported by Counsel Luca Sfrecola, Senior Associate Alfredo Guacci Esposito and Associates Antimo Rocco Nersita and Giovanni Benedetto.
