Watson Farley & Williams (“WFW”) advised ACAM LP (“ACAM”) on its acquisition of Hartshead Resources NL (“Hartshead”) through an Australian scheme of arrangement.
As part of the transaction, WFW advised ACAM on its application for approval by the North Sea Transition Authority for change of control of the North Sea and Irish Sea explorations assets held by Hartshead. Following its acquisition, Hartshead has become a subsidiary of ACAM and has been delisted from the Australian Stock Exchange (“ASX”).
ACAM is a natural resource-focussed limited partnership advised by S&F Investment Advisors Limited. Hartshead is an Australian oil and gas exploration and development company with a portfolio of UK exploration assets.
The cross-border WFW Energy team that advised ACAM was led by London Corporate Partner Tony Edwards, supported by Partners Merrick White and Sarah Ellington, Consultant Heike Trischmann, Counsel Sarah Blaney, Senior Associate David Bath and Associates Lauren Satill and Megha Vijh.
Tony commented: “We are delighted to have advised ACAM on their strategically significant acquisition of Hartshead. The deal included a number of complex, cross-border elements given the nature of Hartshead’s North Sea and Irish Sea exploration portfolio, its ASX listing and the regulatory issues involved in a change of control in the UKCS. Successfully navigating these challenges to deliver a seamless outcome reflects the strength and depth of our full-service oil & gas practice”.
WFW coordinated Australian advice from Gilbert + Tobin, led by Michael Blakiston, Simon Rear and Callum Flemming. SandF Investment Advisors Limited and Auctus Advisors provided financial advice to ACAM.
