Watson Farley & Williams (“WFW”) advised the shareholders of Richmond & Hampshire Ltd (“Richmond & Hampshire”) on the corporate restructuring and sale of The Elvetham hotel, to Jastar Capital Ltd (“Jastar”).
The deal included the simplifying of a complex group structure as well as the drafting and negotiation of a sale and purchase agreement for the entire issued share capital of Richmond & Hampshire.
The Elvetham is a thirteenth-century country house hotel in Hampshire, England, UK. Its estate includes 35 acres of landscaped grounds, 72 guestrooms, 21 meeting spaces and 10 separate buildings covering over 79,000sq ft. Its new owners intend to make substantial investments in improving The Elvetham, including refurbishing its bedrooms, bathrooms and public areas, and creating a new restaurant and spa.
