Maira is a Senior Associate in the firm’s Project & Structured Finance group. Her principal areas of practice are corporate and finance transactions. She specialises in mergers and acquisitions and project finance in the energy sector and has a detailed command of the law relating to the Greek energy market and regulations, environmental law and land rights, as well as extensive experience in corporate structures, transformations and corporate governance. Maira is described as ‘insightful and meticulous’, with ‘a very good knowledge of the energy legislative and regulatory framework’ by one of the largest legal publications.

Maira graduated from the Aristotle University of Thessaloniki in 1998 and has a LL.M. from the Ruprecht-Karls University of Heidelberg (Germany). She joined Watson Farley & Williams in 2007 after almost nine years in a Greek commercial law firm.

Experience Open

    • Provided, as part of the WFW team, international legal advice on drafting the share purchase agreement for the €915m sale of the entire shareholding of Hellinikon S.A., the company holding the development rights to the six million m2 former Athens airport site.
    • Provided, as part of the WFW team, Greek legal advice including lease and property transfer agreements on the sale and lease back of 28 state buildings with a sale value of €261m.
    • Advising on legal due diligence in relation to a large Greek wind and solar portfolio being developed as a joint venture between German and Greek developers.
    • Representing two companies in the PurEnergy portfolio on the cross-collateralised Greek-law bond loan refinancing of two wind farms (total capacity 38.9 MW) with Unicredit Bank AG and Emporiki Bank of Greece SA. One of the wind farms continued construction following the company’s successful defence against an administrative court action brought against its licence. Project finance was difficult to obtain in Greece during the crisis; PurEnergy SA, REnInvest as Investment Advisor and WFW worked closely together to ensure that all of the lenders’ concerns were promptly and satisfactorily addressed in order to complete the financing.
    • Advising Jasper Wind SA, Good Energies Investment’s Greek subsidiary, on the acquisition of a wind farm development portfolio with a total licensed capacity of 104 MW.
    • Advising Investec Bank (UK) Limited on its equity investments in a portfolio of wind development projects in Greece held by BCI SA, including the establishment and operation of a joint venture holding company with BCI SA, legal due diligence on the projects, drafting corporate documentation, shareholders’ agreements and shareholder loan documentation, advice on licensing and subsidy issues. Three wind farms are now operating.
    • Drafting of general business conditions and standard project agreements for the solar supply and construction business of various Suntechnics entities including subsidiries in Greece, Italy, Asia and Brazil.
    • Advising Heliosphera SA and its founder on construction and supply contracts as well as junior bond-loan equity financing and joint venture arrangements for the construction of a 60 MW capacity thin-film solar panel factory in the Peloponnese, Greece (total investment €180m).
