WFW advises Blue Elephant on acquisition of Italian photovoltaic portfolio4 July 2019

Watson Farley & Williams (“WFW”) advised Blue Elephant Energy AG (“BEE”), on its acquisition of a 26 MW photovoltaic solar portfolio from EOS Sicav Plc’s Sustainable Investment Fund (SIF), managed by Abraxas Capital Management Ltd.

The portfolio comprises five SPVs that own seven operational plants across Italy, including in the regions of Puglia, Lazio, Sicily, Marche and Abruzzo.

Hamburg-based BEE acquires and operates renewable energy projects, most notably in the wind and solar sectors where its current portfolio has a combined capacity of over 500 MW.

BEE was advised by a multidisciplinary WFW Italy team led by Corporate Partner and Italy Head Eugenio Tranchino. Corporate Partner Carlo Cosmelli, supported by Associate Alexandra Clinciu and Trainee Lucia Piersimoni advised on the corporate aspects of the transaction. Finance Partner Mario D’Ovidio, supported by Trainees Daniele Sani and Ilaria Di Spirito, advised on the financial aspects of the transaction. Partner Tiziana Manenti, supported by Associates Cristina Betti, Gianluca Di Stefano and Anthony Bellacci, and Trainee Antimo Nersita, advised on administrative and real estate law matters. Senior Associate Alfredo Guacci Esposito and Trainee Marco Mesina advised on the tax aspects of the deal.
