Our corporate and securities lawyers provide clear and commercially focused advice in international and domestic issues and other corporate transactions. We handle transactions involving equity or debt, including private placements, initial public offerings and listings on the world’s markets and exchanges. These include:
- in London, the Official List, the Alternative Investment Market of the London Stock Exchange and Ofex
- in the US, the New York Stock Exchange, the American Stock Exchange and NASDAQ
- in France, the Paris Bourse and Euronext
- in Italy, the Milan Stock Exchange
- other European exchanges such as NASDAQ Europe.
- The group handles the raising of funds for public and private companies utilising a range of techniques including offers for subscription, rights issues, placings, structured debt financings, convertible bonds, leveraged and management buy-outs, mezzanine financings and other forms of private equity or venture capital.
The group works with clients around the world with each of our offices providing advice relating to particular markets and jurisdictions with, among other things:
- London advising on UK securities and financial services legislation and competition law
- Paris advising on compliance with French legal provisions regarding "valuers mobilières", public offerings and private placements and soliciting (démarcharge)
- Rome advising on Italian securities law and regulatory matters involving the Bank of Italy, Borsa Italiana or Consob
- Hamburg advising on all aspects of German capital market law, including IPO matters and closed end funds regulations
- New York advising on all aspects of US Federal and State securities law compliance and reporting including New York Stock Exchange, American Stock Exchange and NASDAQ listing matters
- Singapore and Bangkok advising on the international aspects of inward investment, for both debt and equity, into South East Asia.
