  • Acting for the senior lending syndicate on the sale and lease back of 4 Airbus A300 Aircraft to a European flag carrier through a tax neutral European special purpose vehicle, which transaction involved an unusual and innovative security structure and thereafter acting for the borrower on the refinancing of the junior indebtedness by a major US financial institution
  • Acting for Singapore Airlines Limited in connection with the sale of four Boeing B747-400 aircraft to DVB Bank N.V. special purpose vehicles for a purchase price in excess of US$120m together with the financing arrangements relating thereto and novation of existing dry leases to Air Pacific Limited and Air Atlanta Iceland. In addition a series of engine swaps were entered into post delivery
  • Advising on the structuring and documentation of a proposed financing for the export by Rolls Royce plc of 27 RB-211 engines, 27 turbines, 27 compressors
  • Advising on all aspects of establishing a new scheduled airline, including documenting the corporate and investment structure, advising on the tax implications of the structure and liasing with regulatory authorities on the grant of an EC Operating Licence
  • Advising a UK based European airline on all aspects of its corporate structure, various US and UK private placements of shares, warrants, convertible loan stock and promissory notes raising approximately US$25m and £12m and the subsequent quotation of its shares on the European Association of Securities Dealers Automated Quotation (EASDAQ) with a simultaneous offering of shares raising a further £28.25m
  • Advising on the formation of a ground-handling joint venture and various related services agreements
  • Advising one of the world’s largest aircraft maintenance organisation in a substantial contractual claim in the Commercial Court for supply of maintenance services
  • Acting on behalf of the agent bank, representing syndicates on enforcement against three B737-200 and two Airbus A300 B4 aircraft located in the US and Latin America: in two cases subject to Chapter 11 proceedings, which transaction involved the formulation of previously untried repossession techniques
  • Acting for a state owned airline in a dispute with the lessor concerning the capabilities of a particular aircraft, resolution of the claim and negotiation of revised terms
