Sarah joined Watson Farley & Williams as a trainee solicitor in September 2009 and qualified into the International Corporate Group in September 2011. She specialises in a broad range of corporate work with particular experience in the natural resources sector. She advises on deals including strategic alliances (joint venture arrangements and private equity fundraisings), mergers & acquisitions, corporate finance and commercial transactions. Since joining Watson Farley & Williams, Sarah has worked in the firm’s London and Singapore offices.

    Oil and gas
    • The lenders to Chrysaor (backed by EIG Partners) on the corporate aspects of Chrysaor’s proposed purchase of certain of Shell’s North Sea assets for a consideration of up to US$3.8bn.
    • OMV AG and OMV Exploration & Production GmbH on the sale of 100% of the shares in its wholly owned subsidiary OMV (U.K.) Ltd to Siccar Point Energy Limited (backed by Blackstone Energy Partners and Blue Water Energy) for a consideration of up to US$1bn.
    • Tamesis Partners LLP as lead-manager and Mirabaud Securities LLP as co-manager on a placing by Prairie Mining Limited (listed on the Australian, London and Warsaw stock exchanges) to raise £3.2m for the development of its Polish coal projects.
    • Sound Oil Plc on a £12m placing and an open offer to other existing shareholders to raise up to £3.46m, each at an issue price of 19p per ordinary share.
    • New World Oil and Gas Plc (holder of oil & gas assets in Belize and Denmark) on its placing and open offer to raise £3.5m.
    • Tower Resources Plc on three concurrent “transformational” transactions; its £19.3m placing and subscription, proposed acquisition of Rift Petroleum Holdings Ltd and proposed farm-in to Block 2B onshore Kenya alongside Taipan Resources Inc.
    • Madagascar Oil on international fundraisings, including a £49.5m placing and open offer, a US$15m bridge loan facility and a US$20m cash box placing and open offer to raise up to €5m.
    • Bayerngas UK Ltd, on the acquisition by its subsidiary Bayerngas Europe Ltd of a 13% interest in the Babbage Field from Centrica Resources Ltd.
    • A European utility on an intra-group reorganisation of UK North Sea licences and licence assignments and novations under the Master Deed process.
    • Tower Resources Plc on its acquisition of a 20% carried interest in Marovoay Block-2102, onshore Madagascar and a placing raising £9m and open offer raising £1.04m to fund the acquisition.
    • Sound Oil Plc on the proposed farm down of a 27.5% interest in its Carita Permit, onshore Italy to the The Niche Group Plc and international fund raisings, including a placing to raise £12m and open offer to raise up to €5m.
    • New World Oil and Gas Plc on its proposed US$50m financing package from Niel Petroleum S.A., comprising US$25m equity and US$25m debt financings.
    • New World Oil and Gas Plc on its reverse takeover and readmission to AIM arising from its proposed change in status from an investment company to an operating oil and gas exploration and production company.
    • Tangiers Petroleum Ltd on its secondary listing on AIM and AUS$6.35m international equity fundraising to finance the development of its assets in Australia and Morocco.
    • Lochard Energy Group plc on its £3.38m international equity fundraising to finance the development of its UK North Sea Licences.
