Steve is a corporate, securities and private equity lawyer with an international practice focused on representing companies, sponsors, acquirers, targets and private equity firms in connection with M&A, securities and corporate matters. His corporate practice includes matters involving control acquisitions and dispositions, equity investments, commercial contracting, joint ventures, public and private securities offerings, regulatory filings, restructurings, other complex business transactions and general corporate matters. He also drafts Securities and Exchange Commission and stock exchange filings and submissions, particularly relating to foreign private issuers.

Steve is admitted to practice law in New York, New Jersey and the Republic of the Marshall Islands. He advises and issues opinions relating to entities formed in the Marshall Islands and Liberia, including corporations, limited liability companies, limited partnerships and general partnerships.

Steve is the author of numerous articles relating to mergers, acquisitions, securities law, Marshall Islands and Liberian law and disclosure requirements of public companies, and has taught a continuing legal education course in securities law.

    Steven’s experience includes advising:
    • Euronext in connection with the acquisition of a 90% interest in FastMatch, Inc. (“FastMatch”), a high-growth disruptive Electronic Communication Network company in the spot FX market, for an initial cash consideration of US$153m. Further details can be found here.
    • One of the parties in a scrap metal joint venture focusing on ferrous and non-ferrous scrap metal trading.
    • Mariana Resources Limited on its £166.85m combination with Sandstorm Gold Ltd.
    • AIM-listed Chaarat Gold Holdings Ltd on its private placing of US$15m short term senior secured convertible loan notes.
    • Copenhagen Infrastructure Partners in its acquisition of a Massachusetts offshore wind project.
    • Copenhagen Infrastructure Partners in its acquisition of multiple Texas based wind farms from different parties.
    • SunEdison on the sale of four French PV plants.
    • Hochland SE in its acquisition of Franklin Foods, a dairy company.
    • Globus Maritime Ltd on its transfer of the public listing of its shares from the Alternative Investment Market to NASDAQ, and on its follow-on offering of equity securities.
    • Tennenbaum Capital Partners, LLC in its purchase of Series B Convertible Perpetual Preferred Shares from Euroseas Ltd.
    • Global Ship Lease, Inc. and its parent company CMA CGM in Global Ship Lease’s acquisition by Marathon Acquisition Corp., through a merger valued at US$1bn.
    • An investment company in its joint venture to form a new shipping company.
    • A fund acquiring a shipping company by way of equity purchase agreement, valued at approximately US$140m.
    • An asset management firm in its initial registration of securities, and the subsequent periodic filings, with the Securities and Exchange Commission.
    • A mail order, retail and distribution pharmaceutical and medical supply company in its acquisition of a U.S. branch through a merger valued at more than US$130m.
    • Coal of Africa Ltd, a coal mining and metals processing company listed on the AIM, ASX and JSE, in connection with raising £56.9m to fund, among other things, the acquisition of NuCoal Mining (Proprietary) Ltd.
    • Silver Lake Resources Ltd in its placing of shares, valued at approximately A$70m.
    • Sundance Resources Ltd in two separate placings of shares, one valued at approximately A$60m and the other at approximately A$40m.
