Summary Open

Stefan is a Partner in the Dispute Resolution group, based in Watson Farley & Williams’ Hamburg office. He specialises in dispute resolution and arbitration as well as advising clients on complex project developments, acting for developers, investors and banks in domestic as well as international transactions in the energy and the infrastructure sector.

Stefan advises across the entire lifecycle of projects from development, to construction through to completion and operation including the structuring and negotiation of M&A transactions and joint ventures.

Stefan is regularly engaged to draft, negotiate and manage project contracts (engineering, construction and operational contracts based on international standards such as FIDIC, NEC) as well as handling and avoiding disputes.

His experience ranges across the whole energy sector, including offshore and onshore wind energy as well as clean tech, energy storage and hydro power. Stefan also advises clients in relation to industrial plant projects in the mining, steel, waste, cement and mechanical engineering industries.

Experience Open

    Stefan’s experience includes advising:
    • PGGM on its acquisition of a significant interest in the German offshore wind farm Baltic 2. PGGM has invested in Baltic 2 through its PGGM Infrastructure Fund 2014 and as the lead investor in an international consortium. The project is reportedly the first German offshore wind transaction to use a holdco financing structure.
    • HSH Nordbank on a €64.5m Danish solar park project financing in respect of project and corporate related matters.
    • A consortium of international banks on the €1.275bn financing of the 400 MW offshore wind farm Veja Mate in the German North Sea.
    • EWE AG on all legal matters for the joint venture development of the German offshore wind farm Borkum West II – second phase. Stefan advised on the project development agreements, due diligence, structuring of the project and infrastructure agreements between the phase 1 operating company and the phase 2 project company regarding the joint use of infrastructure facilities.
    • A banking consortium consisting of Société Générale, Nord LB, KfW IPEX, DEXIA, and EIB in the course of financing of the offshore wind farm project Global Tech I (400 MW) with a financial volume of more than €1bn on the structure of construction contracts, including the change of the installation concept during the construction phase.
    • ewz, Zurich Municipal Electric Utility, as Buyer’s Counsel on turbine supply, service and maintenance and offshore installation agreements in light of the acquisition of shares in the 288 MW offshore wind farm“Butendiek”.
    • As Contractor’s Counsel in respect of a subcontract for the fabrication of the topside of an offshore substation operated in a German offshore grid connection cluster in the German Bight.
    • A lender in light of export credit financing on the structure and contents of construction, supply and long-term offtake agreements of an industrial MDF plant in the U.S..
    • Panattoni Europe as Seller’s Counsel and Project Counsel on a regular basis regarding the development, construction and sale of logistic facilities, including acquisition of land from municipalities, land swap agreements and long-term lease agreements.
    • A large German food manufacturer on its enlargement (doubling of its production capacity) of a German production site in relation to project development as well as construction and plant manufacturing agreements.
