Rob is a Partner in the debt securities and structured finance group, based in London. Rob has a broad based practice across the debt capital markets, structured products and derivatives markets as well as having considerable experience of a range of bank financings particularly in the area of mezzanine and other subordinated investment structures. His clients include leading investment banks, private equity and hedge funds and major international corporates across a wide range of industries and sectors.

Rob is consistently recognised as a leading individual within the European derivatives market particularly with respect to finance-linked and other structured swaps, as well as structured commodity swaps and credit default swaps.

Experience Open

    Rob’s experience includes acting for:
    • The hedging banks on financing a £1.3bn investment-grade bond for the acquisition by Danish pension funds PKA and PFA of a 50% stake in the 659 MW Walney Extension offshore wind farm from Ørsted. This was the first nonrecourse, investment-grade bond to be used on a construction-stage offshore wind farm in the UK and won PFI Awards’ European Renewables Deal of the Year and IJ Global’s European Offshore Wind Deal of the Year.
    • Merrill Lynch Commodities Inc. and Merrill Lynch International in respect of secured structured commodity hedges with Targa Resources Partners OLP LP, NRG Energy Inc and Noranda Aluminum Inc.
    • A large European Investment Bank in relation to linked credit and equity derivative transactions referencing underlying margin loans for the acquisition of CIS and Chinese companies.
    • Goldman Sachs International in relation to numerous currency, commodity and interest rate hedging in respect of its leveraged finance, projects and structured finance transactions.
    • Goldman Sachs International in respect of its US$818m equity linked swap and forward transaction for the purposes of providing leverage to a fund established for building stakes in financial institutions.
    • A French oil exploration company in relation to a structured prepaid forward oil swap as part of a linked merger financing.
    • The Bank of New York Mellon as trustee and collateral administrator in relation to numerous CDOs, CLOs and CFOs and in relation to restructuring defaulted CDOs and re-packagings, including following Lehman’s Chapter 11 proceedings.
    • Fortress Japan Opportunity Funds in relation to its foreign currency and hedging transaction facilities provided by National Australia Bank.
    • Bank of America in relation to a review of its securitisation and CLO linked swaps following its downgrade by the rating agencies.
    • Novellis Inc in relation to its commodity derivatives portfolio exposure to MF Global in special administration.
    • Goldman Sachs Credit Partners in respect of its US$216m senior secured facilities in favour of Panther Re Bermuda, an insurance sidecar incorporated for the purpose of assuming a portion of Syndicate 33 risk.
    • Virgin Media Inc in respect of its financing and treasury arrangements including its £5bn senior credit facilities for the financing for the merger of Ntl and Telewest, and its US$1bn convertible notes.
    • Blue Orchid hedge fund in respect of its US$30m fund financing with Amathea IV Ltd.
    • Goldman Sachs International in relation to its expedited court proceedings against a European bank relating to the litigation of credit default swaps.
