Summary Open

Rod is a Partner in the Energy & Infrastructure group of Watson Farley & Williams, based in London. He has a significant range of UK and international upstream oil and gas experience, advising clients on M&A, joint ventures and general project development transactions as well as operational matters. Rod also has a broad range of experience advising clients in the mining, power and petrochemical sectors on M&A and joint ventures.

Rod also has significant in-house legal experience working in the legal department of the former FTSE 25 oil and gas company, BG Group Plc (now part of Shell) and being on secondment to Sumitomo Corporation in Tokyo allied with strong technical expertise in geology, having worked as an exploration geologist for an international mining company before qualifying as a solicitor.

Experience Open

    Rod’s experience includes advising:
    • OMV AG, on the sale of two wholly-owned subsidiaries comprising its upstream exploration and production business in Pakistan to Dragon Prime Hong Kong Ltd for a consideration of €157m.
    • OMV AG and OMV Exploration & Production GmbH on the sale of 100% of the shares in its wholly owned subsidiary OMV (U.K.) Ltd to Siccar Point Energy Limited (backed by Blackstone Energy Partners and Blue Water Energy) for a consideration of up to US$1bn.
    • OMV AG and OMV (U.K.) Ltd, a subsidiary of OMV, on the divestment of a 30% interest in the Rosebank Field and related Licences (the “Assets”) to Suncor Energy UK Ltd for a consideration, subject to adjustments, of up to US$215m (US$50m at completion and up to US$165m upon the final investment decision on the development of the Rosebank Field). OMV UK has retained a 20% interest in the Assets.
    • OMV on the divestment of its participating interest in the Bina Bawi field in the Kurdistan Region of Iraq to Genel Energy Plc.
    • OMV on its acquisition of oil and gas interests in the UKCS (Rosebank and Schiehallion) and Norwegian Continental Shelf (Gullfaks and Gudrun) from Statoil AS for US$2.65bn.
    • Goldman Sachs on the E&P aspects of its investment in Danish multinational energy provider, DONG Energy, for a total amount of US$2.25bn.
    • A European energy company on the proposed unitisation of two oilfields in Pakistan.
    • A Chinese National Oil Company’s (as part of a consortium) bid to acquire the global LNG assets belonging to a European energy company.
    • PetroMetad Ltd on its proposed farm-out of an interest in three exploration blocks in Mongolia.
    • OMV on its proposed farm-in to an offshore block (Block Q) in the Republic of Equatorial Guinea and associated country entry issues.
    • A Japanese energy company on its proposed farm-in to offshore blocks in Angola, Ghana, Mozambique and Myanmar and associated country entry issues.
    • A Japanese trading house on its proposed acquisition of an AIM-listed E&P company with assets in Kenya, Mozambique and Tanzania.
    • BG Group Plc on a number of acquisitions, joint bids, country entry issues and divestments of upstream interests in Australia, UKCS, Egypt, Libya, Madagascar, Nigeria, Norway and Mauritania.
    • Ladol Integrated Logistics FZE on its joint venture with Samsung Heavy Industries Ltd to develop leading facilities for vessel integration, conversion, repair and maintenance of FPSOs in the largest privately financed logistics base in Nigeria.
    • Toyota Tsusho Corporation on the first long-term sales agreement for coal bed methane by a Japanese company.
