Experience Open

    Mergers and Acquisitions
    • Advising a South East Asian listed private hospital group on its bid for a private-equity owned European molecular and diagnostic imaging business (ultimately purchased by a rival bidder for approximately £600m).
    • Advising SapuraKencana Petroleum Berhad on entering into conditional sale and purchase agreements to acquire Petronas’s entire interest in three oil blocks offshore Vietnam for a total purchase price of US$400m following the completion of a competitive bidding process.
    • Acted for an AIM listed mining exploration and evaluation group on its disposal of gold and base metal asset holding subsidiary companies for a consideration of £7.35m, which was satisfied through the allotment of shares in the purchaser, itself an AIM listed company.
    • Acted for a Qatari investor on the acquisition of two central London hotels for £190m.
    • Advised an AIM listed specialist healthcare recruitment company on the acquisition of the entire issued share capital of a UK recruitment company for £10.5m and the business and assets of a second UK recruitment company for £6.65m.
    • Advising Siva Global Ships Ltd on its disposal of 50 per cent of its membership interest in a Marshall Islands vessel owning company for US$19,750,000.
    • Advising AEC Education Plc, an AIM-listed education provider on the sale of its Singapore subsidiary, a company which provides London Chamber of Commerce & Industry examinations in Asia, to global publishing and education group Pearson Plc. The total consideration for the sale was the aggregate of £2.5m in cash paid at completion and a deferred payment of an amount equal to the net consideration received by the purchaser on the sale of its shares in the vendor.
    • Advising an American oil & gas exploration company on the acquisition by means of an offer of an Isle of Man company holding oil & gas exploration licences in Kenya, Madagascar and the Seychelles.
    • Advising the state development bank of an ASEAN nation on the acquisition of an interest in a TSX-listed oil and gas company with an international portfolio of assets offshore Vietnam, Malaysia and Philippines.
    Corporate finance
    • Advising Andalas Energy and Power Plc, an Indonesian power generation and exploration and production company, on its conditional farm-in to an Indonesian Technical Assistance Contract, which constituted a reverse takeover pursuant to the AIM Rules for Companies, re-admission to AIM and conditional placing raising £2.6m.
    • Advised the nominated adviser and broker and joint broker on the admission of a Liberian gold and iron ore mining company on its admission to AIM raising £25m.
    • Advising Matra Petroleum Plc, a US onshore oil and gas company, on its aborted reverse takeover and subsequent delisting from AIM.
    • Advising Rame Energy Plc, the owner and operator of power generation projects in the Chilean wind energy sector, on its group restructuring and admission to trading on AIM. The company raised £2.1m by way of a placing of new shares and the issue of convertible loan notes.
    • Advising SapuraKencana on its well-publicised private placement for 587 million ordinary shares for the US$2.9bn acquisition of a tender rigs business.
    • Advised a Dutch oil and gas company with onshore and offshore assets in the Netherlands and Denmark on its proposed admission to AIM.
    • Advised a retail foreign exchange trading company on its proposed admission to AIM.
    Investments and joint ventures
    • Advised a UK renewable energy company on two rounds of outside investment totalling £8m.
    • Advising the investment division of the government of an ASEAN nation on its minority shareholding in a joint venture company incorporated to construct and manage an aromatics cracker plant (the total investment from both parties for phase 1 of the project is expected to amount to US$4bn).
    • Advising a Norwegian ship owning company on an unincorporated joint venture with a ship management company in respect of the management of vessels.
    • Advising on long term biomass supply agreements.
    • Advising a major Japanese trading house on its general terms and conditions for the sale and purchase of aluminium.
    Other experience
    • Advising Matra Petroleum Plc on its Part 26 Scheme of Arrangement and reduction of capital (the Scheme was one of the first of its type undertaken following legislation changes in 2015).
