Matthew is a Senior Registered Foreign Lawyer in the Finance team based in Hong Kong. He practises general banking law, including syndicated lending, acquisition finance, restructuring and insolvency, property finance and structured trade finance. Matt has acted for a number of financial institutions on a broad range of complex financing transactions across a number of sectors, in particular oil and gas, commodities, transport and real estate.  Matt has previously practised in London and Moscow, and has acted on deals in a number of emerging markets.

Experience Open

    Matthew’s experience includes advising:
    • VTB Bank, on a US$3.9bn loan facility to Independent Oil Company NNK in relation to its merger with, and subsequent acquisition of, Alliance Oil Company, both independent oil companies operating in Russia, Kazakhstan and Ukraine.
    • Gazprombank, on a US$400m senior secured facility and a US$300m mezzanine secured facility to a Russian investment company for the acquisition of a stake in Russian gas company Itera Holdings.
    • VTB Capital, on three facilities totalling US$3.2bn facility in connection with the consolidation of the shareholdings of the Russian oil company RussNeft, the refinancing of RussNeft’s existing financial indebtedness and a subsequent corporate restructuring.
    • A Japanese company, on the US$4bn Ambatovy mining project in Madagascar (one of the largest nickel projects in the world), including multiple layers of support from JBIC and K-Exim.
    • BNP Paribas, as agent and a syndicate of leading banks on a US$1.5bn loan for Rosneft secured against receivables under offtake contracts.
    • Sumitomo Mitsui Banking Corporation, Bank of China, and ICBC on a US$200m pre-export finance facility to Nelson Petroleum Buzachi, a Kazakhstan based joint venture between LUKoil Overseas and Sinopec.
    • Goldman Sachs, Citibank, and Gazprombank on the acquisition of a stake in RosEuroDevelopment, a Russian commercial real estate developer, in return for restructuring RosEuroDevelopment’s debt.
    • Heath Lambert group of companies, on its innovative restructuring, including the transfer to the Pension Protection Fund of the group’s pension scheme.
    • Transport for London and London Underground, in relation to the PPP administration of Metronet, one of the operators of the London Underground.
    • Goldman Sachs on its investment into a Ukrainian real estate developer, structured as a convertible loan.
