Heike specialises in all aspects of oil & gas law but has also been involved in electricity and water projects. Heike has acted for governments, national oil companies as well as junior and major oil & gas companies, banks, energy trading companies, regulators and individual investors in more than 40 countries worldwide on a broad range of international and domestic corporate, commercial, regulatory and projects work in the oil & gas industry. She regularly advises on production sharing agreements, concessions and licence arrangements, M&A and farm-ins, joint operating agreements, oil, gas and LNG supply, transportation, storage and access agreements, trading and other commercial contracts and the underlying regulatory regimes in the relevant jurisdictions as part of investments in the petroleum industry.

Experience Open

    Heike’s experience includes advising:
    • BW Offshore on documentation relating to its participation in the Kudu offshore gas field project in Namibia, including its acquisition – via its wholly owned subsidiary BW Kudu – of a 56% stake in the Kudu offshore licence.
    • The lenders to Chrysaor (backed by EIG Partners) on the E&P aspects of Chrysaor’s proposed purchase of certain of Shell’s North Sea assets for a consideration of up to US$3.8bn.
    • OMV AG and OMV Exploration & Production GmbH on the sale of 100% of the shares in its wholly owned subsidiary OMV (U.K.) Ltd to Siccar Point Energy Limited (backed by Blackstone Energy Partners and Blue Water Energy) for a consideration of up to US$1bn.
    • The buyer of a company owning and operating a European oil refinery, including undertaking due diligence and negotiating various crude and products trading and storage agreements.
    • A potential investor to conduct detailed due diligence and advising in its capacity as bidder on a complex part share sale part asset exchange arrangement in relation to DEA UK’s assets by Letter One, including a complete overview of the commercial agreements in relation to 15 producing gas and condensate fields on the UK Continental Shelf.
    • Industrial and Commercial Bank of China on project agreements, including services agreements, in relation to a US$200m financing to the Exmar group in respect of its construction and acquisition of a floating liquefaction and storage unit for natural gas presently being built by China shipbuilders Wison (Nantong) Heavy Industry Co., Ltd and Wison Offshore & Marine Ltd.
    • On a gas unloading licence from the Department for Energy and Climate Change of the UK for the Port Meridian FSRU-based terminal off the West coast of the UK, drafting the licence and advising on subsequent amendments proposed by DECC until finalisation of the licence. We also advised on applicable maritime and HSE regulatory regimes.
    • Government of Pakistan and Pakistan State Oil in relation to negotiating and drafting a long-term LNG supply agreement with Qatargas as part of a USAID funded consortium of advisers.
    • Tower Resources on a complex tripartite farm-in arrangement into acreage offshore Namibia, including joint operations, change of operatorship and assignment provisions. Subsequently advising on issues with the Operator under the JOA, including contracting with third parties, information flow, work programme & budget, and liabilities under the drilling contract. Additionally advising on a farm-in into acreage of Lion Petroleum Corporation onshore Kenya.
    • Vitol in relation to a proposed acquisition finance and oil offtake agreement with a Nigerian petroleum company.
    • Zenarinda on the acquisition of licence interests in offshore acreage by one shareholder of Lochard Plc from another, which was designed as a ‘sweetener’ for the purchaser of the interests to vote in favour of a takeover of the shares in Lochard by Parkmead. Also advised on the applicable UK licensing regime.
    • African Legal Support Facility (hosted by the African Development Bank) on conducting a two-week workshop to the Government of Tanzania on “Understanding and Analysing Production Sharing Agreements”.
    • Pertamina E&P on the unitisation of the Jambaran and Tiung Biru fields and associated agreements with ExxonMobil in Indonesia.
    • As part of a USAID funded project the Government of Pakistan and Sui Southern Gas, as customer, on the tender for the construction and operation of a FSRU-based regasification terminal for long-term supply of regasified LNG to Pakistan using a tolling structure, including drafting relevant project agreements and other documentation. We advised QED Gas Consulting as part of a consortium of technical, commercial, financial and Pakistani / international legal advisers during a number of competitive bidding rounds for Pakistan’s first LNG import project and subsequent project implementation.
    • The Hoegh LNG/MOL joint venture on drafting terms of usage under a time charter with GDF SUEZ for the FSRU “Cape Ann” in China.
    • BW Ventures on its bid to act as the operator of a FSRU installation offshore Chile, including advising on access to and operating arrangements of the facility.
    • Bomin Linde LNG on drafting a long-term agreement for the supply of LNG as bunker fuel to a German ferry company, the first of its kind in Germany. The agreement is governed by German law.
