    Helen’s experience includes advising:
    • Canadian Solar on its sale of a 142 MW solar PV portfolio with an enterprise value of c. £191.2m to Greencoat Solar Assets II Ltd, a fund managed by Greencoat Capital.
    • Institutional investors on a £1.3bn investment-grade bond in relation to the acquisition by leading Danish pension funds PKA and PFA of a 50% stake in 659 MW Walney Extension offshore wind farm from Ørsted (formerly DONG Energy). The deal is valued at £2bn, of which £1.3bn is being funded through the issuance of the bond.
    • Copenhagen Infrastructure Partners (CIP) on construction aspects relating to its $61m mezzanine loan, through the fund Copenhagen Infrastructure II K/S, for the construction of the onshore wind farm Fluvanna I (155.4 MW) in Scurry County, Texas. Fluvanna I is owned and will be operated by Terna Energy S.A. The total investment in Fluvanna I will be $251m and the project is expected to be operational in 2017.
    • CIP on the negotiation of operation and maintenance (O&M) agreements, balance of plant and engineering, procurement and construction (EPC) contracts for two development stage US onshore windfarms, Bearkat Renewable Energy Project LLC (366 MW) and Blue Cloud Renewable Energy Project (150 MW), in connection with CIP’s acquisition of the projects from TriGlobal Energy in August 2016.
    • PKA, one of Denmark’s leading pension funds, on the EPC contract for the Teesside Renewable Energy Plant in the North East of England, in connection with its acquisition of a 50% stake in the plant. The investment bank Macquarie Capital holds the remaining 50%, and the total investment in the plant anticipated to be in the region of £900m.
    • DONG Energy on the long-term O&M contract for the Burbo Bank Extension UK offshore wind farm, in connection with the sale of a 50% stake in the project to Danish pension provider PKA and KIRKBI A/S, parent company of the LEGO Group.
    • Canadian financial investor CDPQ on the acquisition of a 25% interest in the 630MW London Array offshore wind farm, in particular the OFTO and O&M arrangements.
    • SunEdison in relation to its UK start-up and the acquisition, financing and development of a large pipeline of 15-30MW ground mounted Solar PV arrays across the UK, on the drafting and negotiating of the EPCs and O&Ms for the solar developer’s UK portfolio.
    • NextEnergy Capital, in relation to the IPO of a fund to invest in UK solar PV assets and the deployment of funds to acquire a series of solar PV projects, on the EPCs and O&Ms relating to those projects.
    • UK Cabinet Office on structuring and options for solar power generation on Government Estate, in particular PPA aspects and a number of clients on the development of solar projects intended to benefit from the government’s Feed-In Tariff Scheme.
    • A consortium consisting of Macquarie Capital, Denys and FCC on its bid for the Haren prison PPP in Antwerp, including advising on the maintenance and operation agreement.
    • AES on the first two project financed independent power projects in Cameroon – the Dibamba (86 MW) and Kribi (216 MW) IPPs, in relation to the project finance documents as well as the non-finance project agreements, including amendment of the plant EPC, working in French and English.
    • Sponsors including CNOOC on the proposed East African petroleum pipeline, including detailed due diligence of the legal systems in Uganda, Tanzania and Kenya, in relation to the transnational export pipeline originating in Uganda.
    • The project company on the multi-billion Euro Nabucco Gas Pipeline project connecting the Caspian region to Central and Western European gas markets, the sponsors of which included OMV, RWE, MOL, Tranzgas, Botas and Bulgarian Energy Holdings.
    • Mitsubishi Corporation on its successful tender for development of an IWPP in Qatar for Qatar Electricity and Water Company (QEWC), focussing on the EPC, O&M and term sheets for ancillary documents.
