Helen is a Senior Associate in the London Energy & Infrastructure group. She advises on construction matters and project development in relation to energy and infrastructure projects, specialising in the renewables sector. Her UK and international experience includes advising project sponsors, utilities, financial institutions and government on the full suite of construction and project documentation.

Experience Open

    Helen’s experience includes advising:
    • Institutional investors on the construction aspects of a £1.3bn bond financing for the acquisition by leading Danish pension funds PKA and PFA of a 50% stake in the 659 MW Walney Extension offshore wind farm from Ørsted (formerly DONG Energy), in a deal valued at £2bn. This was the first non-recourse, investment-grade bond to be used on a construction-stage offshore wind farm in the UK, and won European Renewables Deal of the Year at the PFI Awards 2018.
    • Canadian Solar on construction aspects of its sale of a 142 MW solar PV portfolio in the UK with an enterprise value of c. £191.2m to Greencoat Solar Assets II Ltd, a fund managed by Greencoat Capital.
    • Copenhagen Infrastructure Partners (“CIP”) on its equity investment for the construction of two onshore wind projects in Texas, Bearkat I (366 MW) and Blue Cloud (148 MW). They are CIP’s first two equity investments in US onshore wind to benefit from tax equity investment from commercial operation. Helen advised on and negotiated the full suite of construction contracts including in relation to turbine supply, service and maintenance and balance of plant contract with Black & McDonald and energy services agreement and other ancillary contracts with E.ON Energy Services.
    • Statkraft on the sale of (i) its 40% stake in the 317 MW Sheringham Shoal Offshore Wind Farm to the UK fund manager Equitix for a value of £558m and (ii) a 30% share in the 402 MW Dudgeon Offshore Wind Farm to a consortium led by China Resources (Holdings) Company Ltd, a state-owned Chinese enterprise, for a value of £555m. Helen advised on construction aspects and due diligence and was part of the team that successfully pitched to Statkraft.
    • CIP on the construction aspects relating to its US$61m mezzanine loan, through the fund Copenhagen Infrastructure II K/S, for the construction of the onshore wind farm Fluvanna I (155.4 MW) in Texas.
    • PKA on the EPC contract for the Teesside Renewable Energy Plant in the North East of England, in connection with its acquisition of a 50% stake in the plant. Macquarie Capital holds the remaining 50%, and the total investment in the plant anticipated to be in the region of £900m. The deal was named European Power Deal of the Year 2016 by PFI Magazine.
    • Ørsted on the long-term O&M contract for the Burbo Bank Extension UK offshore wind farm, in connection with the sale of a 50% stake in the project to Danish pension provider PKA and KIRKBI A/S, parent company of the LEGO Group.
    • Canadian financial investor CDPQ on the acquisition of a 25% interest in the 630 MW London Array offshore wind farm, in particular on the OFTO and O&M arrangements.
    • SunEdison in relation to its UK start-up and the acquisition, financing and development of a large pipeline of 15-30 MW ground mounted Solar PV arrays across the UK, on the drafting and negotiating of the EPCs and O&Ms for the solar developer’s UK portfolio.
    • NextEnergy Capital, in relation to the IPO of a fund to invest in UK solar PV assets and the deployment of funds to acquire a series of solar PV projects, on the EPCs and O&Ms relating to those projects.
    • The UK Cabinet Office on structuring and options for solar power generation on Government Estate, in particular PPA aspects, and a number of clients on the development of solar projects intended to benefit from the government’s Feed-In Tariff Scheme.
    • The project company on the €multi-billion Euro Nabucco Gas Pipeline project connecting the Caspian region to Central and Western European gas markets.
    • A consortium consisting of Macquarie Capital, Denys and FCC on its bid for the Haren prison PPP in Antwerp.
    • AES on the first two project financed independent power projects in Cameroon – the Dibamba (86 MW) and Kribi (216 MW) IPPs.
    • Sponsors Total, Tullow and CNOOC on the proposed East African petroleum pipeline.
    • Mitsubishi Corporation on its successful tender for development of an IWPP in Qatar for Qatar Electricity and Water Company.
    • Public and private sector clients on PFI projects and large-scale infrastructure outsourcings in the defence, transport and mining sectors.
