Summary Open

Eugenio is the founder and the Head of the Italian offices of Watson Farley & Williams. He specialises in corporate work, acquisition finance, project finance and restructuring, advising borrowers, private equity funds and lenders on infrastructure projects as well as the gamut of energy sectors such as nuclear power, wind, solar, hydro and biomass.

Eugenio has an undergraduate and an LL.M. in International Tax Law from the University of Rome, as well as an LL.M. in European Business Law from the University of Paris. He is admitted to both the Italian and French Bars. He is fluent in English, French, Spanish and Dutch in addition to his native Italian.

Eugenio is acknowledged as one of the 50 most influential lawyers in Italy (MAG legalcommunity 2016) and ranked in Chambers Global 2017 and 2016 (Corporate and M&A, Foreign Expert for France) and Chambers Europe 2016 (Energy and Natural Resources, Band 2) with sources describing him as a “great and commercially minded lawyer”.     • Whiteridge Investment Funds on their sale of 22.09% of the ordinary shares of K.R.ENERGY S.p.A., an Italian investment company listed on the electronic share market MTA and a renewable energy producer, to newly constituted investment company Rise Equity S.p.A.
    • Greentech Energy Systems A/S, a major Danish renewable energy group listed on the Copenhagen Nasdaq OMX, on the sale of all its Polish wind farms, Parnowo, Ustka and Smolęcin, with a total capacity of 108 MW, to EDF EN POLSKA SP. Z.O.O., a subsidiary of EDF Energies Nouvelles.
    • Energia Rinnovabile Valtellineses S.r.l (“E.R.V.A.”) on the negotiation and drafting of binding agreements made in preparation for the acquisition of 100% of B.B.E. S.r.l.’s (“B.B.E”) shares from E.T.S. S.p.A. Engineering and Technical Services and Iniziative Energetiche Sostenibili S.r.l.
    • Obton A/S, the largest Danish investment company active in the solar sector, on the negotiation, drafting and subscription of a settlement agreement with the Wirsol Group, an international solar energy provider.
    • OTI Energy S.A., in relation to the sale of a 15 GWh hydropower plant located in the Municipality of Tavagnasco, Turin (Northern Italy).
    • Sound Oil, the Mediterranean-focused upstream oil and gas company, on the development of its business strategy with the Moroccan Oil and Gas Investment Fund (“OGIF”) in relation to the acquisition of part of the Tendrara licence, onshore Morocco.
    • Solea AG, quality leader of the construction of photovoltaic power plants, in the negotiation and drafting of the contractual documentation in relation to the construction and the maintenance of a solar power plant with a total capacity of 6,24 MW situated near Swansea (UK).
    • Humphrey Julian Nokes on the acquisition of a 35,33% shareholding in PRINCIPIA S.G.R. – Società di gestione del risparmio S.p.A., from MAZ&COS Venture S.r.l..
    • Sound Oil on a €7m reserve-based lending facility for developing its Nervesa gas discovery, in onshore northeastern Italy.
    • Capital Stage AG on a refinancing facility worth up to €23m from Bayerische Landesbank, a primary German public law credit institution.
    • A group of over 50 Italian and foreign companies active in the solar energy sector before the European Commission, following the approval of Art. 26 of Law Decree 91/2014 by the Italian government.
    • Century Asset Management LLP and Old Mutual Life Assurance Company (South Africa) Ltd. (two private equity funds investing in the infrastructure sector in Europe) as well as LDK Solar Europe Holding SA (a leading manufacturer and supplier of PV products) on the legal due diligence process and on the building and project financing of a 20 MW portfolio of rooftop PV plants.
    • Greentech Energy Systems A/S, a Danish renewable energy company with more than €1bn of assets listed on the Copenhagen Nasdaq OMX, on the establishment of a joint venture with Foresight Group relating to various PV projects in the USA.
    • Greentech Energy Systems A/S on the acquisition of the PV projects owned by Solar Utility (a subsidiary of Pirelli Ambiente) and on a joint venture agreement to develop 100 MW.
    • Greentech Energy Systems A/S on the project financing of a 24 MW wind farm located in the Region of Sardinia, Italy.
    • Impax Asset Management Group Plc, a UK private equity fund, on the acquisition of a 10 MW PV portfolio in Southern Italy.
    • Capital Stage on the acquisition from Interenergia Quattro S.r.l. of five ground-mounted operating PV plants located in Central Italy, with a total capacity of approximately 5 MW.
    • Capital Stage on the acquisition, from Ceif Società Cooperativa, of two PV plants of a total capacity of approximately 4.6 MW, situated in Polesine Parmense, Central Italy.
    • First Solar GmbH, a leading US PV manufacturer, on the Italian aspects of a joint venture for the building of 120 MW PV projects in Italy.
    • Winch Energy in Italy in relation to the sale to Ampere Equity Fund of a majority stake in a 9.7 MW portfolio of PV projects in Southern Italy.
    • Global Power Sources S.r.l. on the acquisition of its 100% stake in Ascent Resources Italia S.r.l. from Ascent Resources Plc.
    • LiteOn Green Technologies BV, a renewable energy company belonging to the Taiwanese Lite-On Group, on the sale of 100% stake in Lite-On Green Technologies S.r.l., owner of ten operating PV plants located in the Region of Veneto (Northeastern Italy), to the international investment fund Partners Group for more than €30m.
    • LiteOn Green Technologies BV on the purchase from AIEM S.r.l. of PV projects having an aggregate capacity of 10 MW located in Northern Italy.
