Summary Open

Daniel is a Partner in the firm’s Corporate Group.  He works primarily in the sectors of shipping and offshore oil & gas, advising on all areas of these sectors with a particular focus on M&A, private equity and commercial contracts.  He also advises on M&A, private equity and joint venture transactions in a broader range of sectors, from education and media to commodities and onshore oil & gas. Daniel is an expert in a wide range of maritime related commercial contracts, and also advises major shipping financiers in relation to finance lease structures and financial and corporate restructurings.

Daniel is a Barrister and Solicitor of the High Court of New Zealand and qualified solicitor of England & Wales who joined the Singapore office of Watson Farley & Williams in 2007, transferring to the London office in 2012.

Experience Open

    Daniel’s experience includes advising:
    • Singapore-based RCMA Group on its agreement to sell its rubber trading and distribution business in Europe, the United States, Singapore and Thailand to SGX-listed Halcyon Agri Corporation Ltd.
    • Dubai-based International Real Estate Partnership Holdings LLC on the purchase from administrators, Mark Fry and Gary Shankland of Begbies Traynor (London) LLP, of the Asia-Pacific business of real estate consultancy and services company Cluttons.
    • Oaktree Capital Management on due diligence and negotiating the acquisition of shares in Torm A/S in connection with the restructuring of Torm’s equity and debt as part of a scheme of arrangement.
    • TIME Investments on the formation of a new investment offering operating under the UK Government’s Enterprise Investment Scheme, the first such public offering focusing on the maritime industry.
    • A global container shipping company in relation to the drafting of bespoke and standard form charter contracts.
    • Tesco Plc in relation to the drafting of a negotiation of their worldwide shipping, airfreight and freight forwarding contracts.
    • Reliance Industries Ltd in relation to the construction, supervision and charter out and back of the world’s first VLEC vessels to Mitsui O.S.K. Lines, Ltd. The deal has been named one of Trade Finance magazine’s Asia Pacific Deals of the Year.
    • BG Group Plc affiliate Methane Services Ltd, on the US$930m sale of six LNG carrier vessels to GasLog Ltd.
    • BNP Paribas in relation to the restructuring of Israeli container shipping line Zim.
    • Shell Eastern Petroleum (Pte) Ltd on the placement, employment and operation of an FLNG unit in Australia and Indonesia respectively.
    • Start-up Thai ship management company Highland Maritime in relation to its incorporation, shareholder agreements, management agreements and service agreements in both Thailand and Singapore.
    • Apache Energy Ltd in relation to its acquisition of a floating production, storage and offloading facility for US$185m from Prosafe, a subsidiary of BW Offshore.
    • The Seller concerning the sale of a Singapore subsidiary of AIM listed company AEC Education Plc to Pearson Plc.
    • Singapore based RCMA Commodities Asia Pte Ltd on the acquisition of the UK and US based rubber trading businesses of N.V. Deli Maatschappij.
    • Arowana Capital on its acquisition and later sale of the Singapore and Hong Kong businesses of Key Media Group.
    • Global Process Systems Inc in relation to the conversion and operation of a mobile offshore production unit for the Maleo Joint Venture in East Java, Indonesia for approximately US$60m.
    • Various companies concerning the sale and purchase of their maritime assets including but not limited to Sinokor, Bumi Amada, Navigator Gas, Thoresen Thai Agencies, Norgas Carriers AS, I.M. Skaugen, Tradewind Tankers, Humpuss, Fred Olsen, UACC, NCC, CSL, Emarat Maritime, Ultrapetrol and Delphis.
    • On drafting of back to back COA and transhipment agreements for the procurement of rock from the middle east to the coast of western Australia for use for a bid concerning the Wheatstone and Browse LNG projects.
    • United Arab Chemical Carriers as bareboat charterers in relation to the finance lease of two vessels.
    • IM Skaugen Marine Services Pte Ltd in connection with the sale to and charter back from Teekay of 2 x 12,000m³ LPG/Ethylene/LNG carriers.
