Dearbhla is an English qualified Solicitor and Partner working in the London office of Watson Farley & Williams as part of the Corporate group. Her practice focuses on UK and cross-border transactional work (corporate finance, M&A and private equity) for both public and private companies.

Dearbhla’s experience covers initial and secondary offerings of shares on the Official List and AIM market of London Stock Exchange Plc (advising both companies and institutional brokers), public takeovers, private offerings of shares, venture capital (for management teams and equity providers), mergers, acquisitions and joint ventures (both domestic and cross-border).     • AIM-traded Westmount Energy Ltd on a subscription raising £200,000 and an open offer of up to 11,285,167 new Ordinary Shares at 5 pence per share to raise up to approximately £550,000.
    • New World Oil and Gas Plc, a company with oil & gas assets in Belize and Denmark, on its placing and open offer to raise £3.5m.
    • Northland Capital Partners Ltd, the nominated adviser and broker to Rame Energy Plc, an international energy consultant, engineer and power project developer that is focused on owning and operating its own power plants in Chile, on its AIM admission and related share placing.
    • A Swiss private bank on the sale of its shares in a private wealth management business to AIM traded European Wealth Group Ltd, which resulted in a reverse takeover.
    • Cenkos Securities Plc, the nominated adviser and broker to eServGlobal Ltd, a company specialising in mobile money solutions, on a £10.9m secondary placing.
    • Bellzone Mining Plc, an iron ore exploration and development company with assets in Guinea, West Africa, on a US$100m strategic investment by China International Fund Ltd and a US$133m secondary placing.
    • Strand Hanson Ltd and Renaissance Capital Ltd in relation to the admission to AIM of Zambeef Products Plc and a related share placing and rights issue on the Lusaka Stock Exchange, raising in aggregate US$54.97m. Zambeef is a fully integrated African agri-business with operations in Zambia, Nigeria and Ghana.
    • Grant Thornton UK LLP, the nominated adviser to Wildhorse Energy Ltd, an alternative energy company focused on developing underground coal gasification projects in central Europe, on its fast-track admission to AIM.
    • Bellzone Mining Plc, an iron ore exploration and development company with assets in Guinea, West Africa, on its AIM admission and related share placing raising US$50m.
    • NCB Stockbrokers Ltd, the joint bookrunner to Avangardco Investments Public Ltd, one of the largest egg producers in the Ukraine, on its listing of global depositary receipts on the London Stock Exchange, raising US$187.5m.
    • Central Rand Gold Ltd, a South African gold mining company, on its dual listing on the Official List of the UK Listing Authority and on the Johannesburg Stock Exchange.
    • Camco International Ltd, an originator of carbon credits, on its AIM market admission and related share placing.
    • Novera Energy Ltd, an ASX listed renewable energy company, on its fast-track admission to AIM.
    • Each of CustomVis Plc, an expert in laser vision correction, Interactive Prospect Targeting Holdings Plc, an online lead generation company, Volvere Plc, a growth capital investment company, and Calyx Group Plc, the Irish ICT solutions provider, on their AIM admissions and related share placings.
    • The nominated advisers and brokers in relation to the placing and admission to AIM of each of Vietnam Infrastructure Ltd, Renewable Power & Light Plc, Africa Eagle Resources Plc (secondary placing), Solar Integrated Technologies, Inc. and GW Pharmaceuticals Plc.
    • Canadian Solar on its sale of a 142 MW solar PV portfolio with an enterprise value of c. £191.2m to Greencoat Solar Assets II Ltd, a fund managed by Greencoat Capital.
    • Global Risk Partners Ltd, the private equity-backed insurance intermediary, on its acquisition of Crewe-based County Group, a UK top 25 insurance broker.
    • Lightsource Renewable Energy on its agreement to enter into a partnership platform with UK Climate Investments to fund the development, acquisition and ownership of large scale solar power generation assets in India.
    • OMV AG and OMV Exploration & Production GmbH on the sale of 100% of the shares in its wholly owned subsidiary OMV (U.K.) Ltd to Siccar Point Energy Limited (backed by Blackstone Energy Partners and Blue Water Energy) for a consideration of up to US$1bn.
    • Blue Energy in connection with its acquisition of the Cour Blackcraig and Whiteside Hill wind farm developments from SSE Renewables Ltd.
    • Copenhagen Infrastructure Partners on its acquisition of an additional 10% interest in the Beatrice Wind Project, the 588 MW offshore wind farm located in Outer Moray Firth in northern Scotland, from SSE Plc.
    • A US company on the sale of its interest in a power plant in Pakistan.
    Private equity fundraisings and investments
    • A company with an innovative recruitment technology with businesses in the UK, US and East Europe on its pre-IPO fundraising to raise up to £7m.
    • A start-up company in the technology sector on SEIS (Seed Enterprise Investment Scheme) and EIS (Enterprise Investment Scheme) fundraisings.
    • A US private equity fund on its US$130m investment in the leading independent power company in Nigeria, which is developing the Azura-Edo power project near Benin City in Nigeria.
    • An investor on a US$100m investment in a new hedge fund investing in Africa and the Middle East.
