    David’s experience includes advising:
    Energy & Infrastructure transactions
    • As English law counsel for MPS Capital Services S.p.A., as lender, on the €23m refinancing of five photovoltaic plants managed by Octopus Energy Investments and located in Montalto di Castro in the Lazio region of Italy. The plants, with a total capacity of 64 MW, are the first project of this size with grid parity in Italy and among the largest power plants in Europe.
    • A commodity trading house on the refinancing of secured facilities provided to an Ivory Coast borrower in order to develop oil refinement capabilities.
    • Two export credit agencies on their participation as original direct lenders in relation to facilities provided to an Indonesian state utility provider in order to purchase eight mobile power plants.
    • A Swiss bank on the refinancing of bilateral loans from development finance institutions originally provided to an Armenian borrower in order to fund the development of two international airports.
    Export Credit Agency (“ECA”) transactions
    • A Japanese bank on an ECA-backed facility agreement for a United Arab Emirates incorporated borrower.
    • A British bank as ECA Agent on an ECA-backed master framework agreement (and accompanying facility letters) for a Turkish incorporated borrower.
    Emerging Markets – Africa transactions
    • A private equity house providing secured (by way of second ranking lien) mezzanine financing to a Kenyan transportation and logistics company.
    • A Nigerian bank on the amendment and restatement of a secured syndicated facility provided to a Nigerian borrower.
    Emerging Markets – Russian and Eastern European transactions
    • Chaarat Gold Holdings Ltd on a US$20m raising of equity and short term senior secured convertible loan notes via a private placing to selected investors.
    • An Irish bank on a joint co-operation agreement with a Russian consortium in order to transfer Russian property assets from a Russian administrative receiver to such Irish bank, and subsequently transfer such assets to Russian based branches of Dutch incorporated subsidiaries of such Irish bank.
    General Banking/Other
    • The document agent on the amendment and restatement of a train company’s revolving credit facility, including taking English law and French law security over three trainsets and future proofing the documents in respect of Dutch law security.
    • On producing a strategic review of European jurisdictions on behalf of a British bank in respect of the ease of conducting cross border syndicated financing in each jurisdiction (15 in total).
