Senior Associate

Carolyn is a Senior Associate in the Corporate group of Watson Farley & Williams, based in Dubai. Her practice focuses on M&A, joint ventures, fund raisings and general corporate and commercial work. She has represented private companies and publicly listed corporations, international investment funds and financial institutions across a wide range of sectors globally. Having worked extensively with clients in Asia, Europe and the Middle East, she has developed a flexibility of approach and a keen eye for issues associated with cross-border transactions and regulatory work.

Carolyn’s experience of working directly with business units and commercial teams on client secondments in-house has given her a unique insight and acute sensitivity to her clients’ commercial needs.

Carolyn is licensed to practice as a legal consultant in the UAE, is an advocate and solicitor in Singapore and qualified to practice English law.

• OMV AG, on the sale of two wholly-owned subsidiaries comprising its upstream exploration and production business in Pakistan to Dragon Prime Hong Kong Ltd for a consideration of €157m.
• A market leading German mobile security and technology company on a complex group restructuring of its subsidiaries and assets in the UAE involving the transfer of two of its business units and a re-organisation of its shareholding structure.
• The Federal Electricity and Water Authority of the UAE on the procurement of a greenfield sea water desalination treatment facility of 45MIGD production capacity situated in the Emirate of Umm Al Quwain on a build, own and operate basis.
• Crestline Management L.P, an institutional alternative investment management firm based in Texas and specialising in credit and opportunistic investments, including financing and restructuring solutions on the acquisition of a minority stake in RCOG Tank Leasing Ltd which owns various tank leasing and tank operating companies.
• Wishbone Gold Plc, an AIM-listed company, on the acquisition of Precious Metals International Limited which controls UAE-based commodities trading company Black Swan FZE.
• National Chemical Carriers (currently known as Bahri Chemicals), one of the biggest shipping companies in the world on a proposed joint venture with one of the top ten global logistics providers in the world, specialised in the provision of supply chain solutions, air, ocean and road freight forwarding, warehousing, distribution, and specialised services in project logistics, chemical logistics worldwide.
• National Chemical Carriers (currently known as Bahri Chemicals), on a joint venture to expand the chemical tankers parcel trade in the Middle East through the formation of a joint venture corporation.
• The Cabin Hong Kong, a leading provider of addiction treatment and management in the establishment of a branch on mainland Dubai.
• Ahli United Bank, a full service bank offering retail, Islamic, commercial, private and investment banking services established and regulated in the Kingdom of Bahrain, in its establishment of a branch in the Dubai International Financial Centre.
• Citigate Commodities Trading Ltd, a company trading in gems and precious metals in its acquisition of interests in several diamonds mines across West Africa including Sierra Leone, Liberia and Guinea.
• The UAE’s leading electronic payment provider on its investment in a UAE payment clearing platform as a majority investor along with all of the UAE’s regional banks.
• GFK Middle East and Africa FZ LLC, a branch of GFK, the world’s fourth largest market research institute on several matters including advice on its participation in two UAE-based joint venture companies and the disposal of an interest to a media group.
• Infra Capital Investments PJSC on the investment by way of subscription preferred stock (convertible into common stock) in Amydis Diagnostics, Inc. a US-based research company.
• An Islamic Insurance Provider on a capital reduction exercise and an amendment and restatement of its articles of association.
• Minjar Gold Pty Ltd, a Perth based gold mining company and a wholly owned subsidiary of Shandong Tyan Home Co Ltd, a company listed on the Shanghai Stock Exchange, on the UAE legal aspects of a recapitalisation of Triton Minerals.
• A Spanish hotel operator in connection with the acquisition of a 50% interest in a UAE hotel operator and subsequent formation of two subsidiary entities in Dubai and Sharjah.
• One of the UAE’s leading property developers on the acquisition and development of a mixed use residential and commercial property in the United Kingdom.
• The shareholders of Life Concept Multispeciality Centre FZ- LLC, a medical centre specialising in fertility treatment established in Dubai Healthcare City on shareholder / employee profit sharing arrangements.
• The sellers on the divestment of a 30% stake in an international business school established in Dubai with a campus in Dubai International Academic City.
• Several Chinese corporate entities with subsidiaries established in the UAE by providing pre-listing advice and legal opinions in support of their proposed listings on the Shanghai stock exchange in China.
