WFW advises WHAM Energy plc on recommended offer by Venture Production plc

Watson, Farley & Williams LLP (WFW) is acting for WHAM Energy plc (WHAM) on a recommended offer by Venture Production plc for the entire issued and to be issued share capital of WHAM. The offer is to be implemented by way of a scheme of arrangement under section 425 of the Companies Act, involving a capital reduction under section 135 of the Companies Act. The offer values the issued and to be issued share capital of WHAM as at 24 September 2007 at approximately 13.6m and 12.1m respectively.

WHAM was incorporated in 2003 as an upstream oil and gas company with a strategy of focusing on exploration in the southern North Sea Gas Basin. It currently has a balanced portfolio of 10 licenses covering 21 blocks or part blocks.

This transaction is led by partners, Jan Mellmann, Mike Wachtel and Nick Fothergill, with Assistants, Chris Kilburn and Ravinder Sandhu.
