WFW advises on €30m private placement bond8 April 2019

Watson Farley & Williams’ (“WFW”) Italy and Paris offices advised FCT NOUVELLES ENERGIES (INFRAGREEN II 2018-1), a subdivision of French securitisation fund (fond commun de titrisation à compartiments) INFRAGREEN II , itself managed by RGREEN INVEST, regarding subscription to a private placement of senior secured notes issued by Andali Energia S.r.l. (“Andali”).

The €30m notes will be issued in two tranches and listed on the Third Market of the Vienna Stock Exchange and will be used for the construction of a wind project with total capacity of 36 MW in the southern Italian region of Calabria.

RGREEN INVEST, a French asset management company of the RGREEN group created in 2010 by Nicolas Rochon, is the first financing platform for green infrastructure, enabling institutional investors to direct their capital towards financing projects relating to energy transition. Through the NOUVELLES ENERGIES fund, RGREEN INVEST offers an alternative short-term financing solution with fixed-rate for promoters of renewable energy infrastructure projects.

The cross-border WFW team advising RGREEN INVEST was led in Italy by Finance Partner Mario D’Ovidio and Partner and WFW Italy Head Eugenio Tranchino, assisted by Trainees Daniele SaniLaura La Rocca and Bianca Lombardo on matters relating to the note issue.  Partner Tiziana Manenti advised on the administrative law aspects of the transaction, supported by Associates Gianluca Di Stefano and Anthony Bellacci. In Paris, the team was led by Partners Laurence Martinez-Bellet and Romain Girtanner who advised on the French finance and tax law aspects of the deal respectively, assisted by Associate Yassine Allam.
