21 March 2012

Watson, Farley & Williams (“WFW”), a leading international law firm, is pleased to announce that it has advised European Sustainable Power Fund 2 (“ESPF 2”), a fund launched by KGAL GmbH & Co. KG (“KGAL”) for German institutional investors, on its acquisition of project special purpose company “Voyennes Energies SAS.” ESPF 2 is the first fund ever to allow investment in wind and solar energy at the same time.

The project SPV is the owner of wind farm “Voyennes” in the Somme region in France. The installed capacity of the wind farm, with its 8 Vestas V90 wind turbines, is 16 MW. It is sold by Munich-based Renerco Renewables Energy Concepts AG (“RENERCO”), a member of the BayWa re.e group. RENERCO will be in charge of the facility and asset management of wind farm Voyennes during its operational phase. The parties have agreed to keep the purchase price confidential.

The team of Watson, Farley & Williams was led by Munich partners Dr. Dirk Janssen (Corporate) and U. Tobias Ackert (Tax). Assisting were Daniel Marhewka, Simon Vogel, LL.M. (both Corporate, Munich), Dr. Christine Bader (Cartel Law, Hamburg) and Martina Füchsl (Tax, Munich). The WFW team in France was led by Romain Girtanner (Tax, Paris), assisted by Peter Schmid, Julien Barba, Laurent Battoue (all Corporate, Paris), Cynthia Gozan (Tax, Paris) and Thomas Lugez (Finance, Paris).

Dirk Janssen, lead partner of the Corporate team at WFW in Munich, said: “We are excited that we could assist KGAL on its first-ever wind farm transaction in France. We believe that the close and trusting collaboration among our integrated teams across disciplines and national borders and with the highly professional in-house team at KGAL has been the foundation for completing the transaction so successfully.”
