WFW advises DIF on UK Onshore Wind Farm Acquisition

29 September 2016

International law firm Watson Farley & Williams (“WFW”) has advised DIF, a leading independent fund management company, on the acquisition of the Wadlow onshore wind farm. The project company, Wadlow Energy Limited, is financed by British retail and commercial bank, Lloyds.

Located in Cambridgeshire, the 26MW wind farm is capable of generating sufficient renewable energy to meet the annual requirements of nearly 17,000 UK homes.

WFW advised DIF on the acquisition of the wind farm (SPA, red flag due diligence report, tax deed, review of the certificate title and the review of vendor due diligence) and the incorporation of the new owners into the project financing arrangements.

The WFW London Energy & Infrastructure team was led by Partner Daisy East and Malte Jordan (WFW Hamburg), supported by Associates Katherine Best, Natalie Georgiou, Hayley Arrow, Grahame Fischer and Emma Blake. Partner Tom Jarvis and Associate Rob Firth advised on tax matters and Partner Simon Folley and Senior Associate Robert Young advised on property matters.

Daisy commented: “We are delighted to have assisted DIF on an acquisition that represents a significant investment for them in the UK onshore wind sector. That they turned to us for advice on such an important acquisition demonstrates WFW’s pre-eminent position for renewables expertise in the UK”.
