Patrick Kirkby joined Watson, Farley & Williams in November 2001 and mainly advises in the field of shipping.  He has over nine years' experience advising on a wide range of international matters.  These include the structuring of major shipping finance, lease and credit-wrapped projects for a wide spectrum of vessel types, including dry cargo carriers, tankers, car carriers, FPSOs, container ships and LNG and other product carriers as well as the negotiation of ship and oil rig building contracts, revolving and term loan agreements and all aspects of ship purchase, leasing and chartering.
 
Recent Experience

  • Advising a major European ship finance bank on a US$91.2m VLCC financing to a consortium with interests in the exportation of oil from South America and coordinating three different levels of finance and security
  • Advising Japanese clients on a detailed contract of affreightment for the transportation of LNG cargoes within the framework of a UK lease financing, negotiated in detail to comply with the requirements of carrier, shipper, cargo seller, financiers and lessor
  • Advising a North European banking syndicate on a US$434,635,200 financing to a major Russian tanker company, which included the task of tailoring the loan documentation to meet the competing quiet enjoyment requirements of the charterers involved in the arrangements
  • Advising on the acquisition for a client of a significant portion of the container leasing business of a major company exiting the container market as a result of a recent merger. This included negotiating not only the purchase contracts but also the detailed warranties and disclosures and the assignment arrangements in relation to the various leases to which several thousand containers were subject. This also involved documenting the container onward sale arrangements to a KG as well as the production of various security documents required by the KG's financiers
  • Advising on a CEXIM co-financing for the acquisition of a series of Chinese newbuildings
  • Advising a European tanker owning group on the repackaging and new financing from a UK bank, including advising on concurrent sale and lease-back documentation, the loan arrangements and liaison with the builders and refund guarantors involved in the transaction
