Ken Cheung joined Watson, Farley & Williams in 2000 and is a Partner in the firm's International Corporate Group based in Singapore.  He specialises in corporate and commercial law including cross border transactions, foreign investment, joint ventures and merger & acquisitions in the Asia-Pacific region. His work particularly concentrates on the energy, transport and media sectors. Recent Experience

  • Acting for Monsanto Company on the divestment of its butachlor and alachlor businesses (two kinds of selective herbicide) and certain other assets in seven Asian countries to Sinochem International Corporation.  The transaction involved the transfer of technical know how and product registrations and sale of business assets in the Philippines, Thailand, Vietnam, India, Pakistan, Bangladesh and Taiwan within a short time frame.
  • Advising for Acteon Group Ltd on the acquisition of Franklin Offshore International Pte Ltd, an international company involved in offshore oil and gas support based in Singapore.  The target company had worldwide operations including Europe, US and Australia and our role was to co-ordinate the acquisition, draft and advise on the sale and purchase agreement and carry out due diligence in a short time frame.
  • Acting for Publicis Groupe on the acquisition of minority shareholdings in its Malaysian subsidiaries, including termination and re-negotiation of employment contracts with senior employees.  Ken also advised on the strategic restructuring of Publicis’ operations in Singapore.
  • Acting for Sevan Marine ASA in respect to relocating its operations to Singapore.  Work included the establishment of a corporate structure to own and manage a fleet of FPSO vessels from Singapore. Sevan (who is in a joint venture with a UK company) propose to use a general partnership structure to register one FPSO and has sought our assistance to establish the structure and to obtain exemption under section 13A of the Singapore Income Tax Act.
  • Advising General Process Systems, Inc., a major Dubai based oil and gas company, on its acquisition of a 50% interest in Asia Offshore Services Pte Ltd from Clough Ltd.  We assisted GPS in drafting and negotiating the sale and purchase documentation and in the establishment of a 50/50 joint venture to own and operate the company.
  • Advising Conergy AG, a major German company operating in the renewable energy sector, on an acquisition of an Indonesian solar energy engineering company.  Our work involved advising the company on foreign investment regulations, due diligence and drafting the transaction documentation.
