Summary
Jan Mellmann joined Watson, Farley & Williams
in 1989 and is Head of the International Corporate Group. He deals with
a broad range of corporate and commercial transactions, particularly in
the energy, natural resources and transport sectors, including cross-border
and domestic mergers and acquisitions, joint ventures, equity and debt
issues for public and private companies, private equity transactions, corporate
restructurings and commercial contracts.
 
Recent Experience
- Advising various companies on their IPOs,
secondary fundraisings, reverse takeovers and other transactions
including:
- Advising Norseman Gold Plc (previously
Davos Resources Plc) on its acquisition of Central Norseman Gold Corporation
Ltd. (in administration) from Croesus Mining NL (in administration) for
AUS$66 million plus assumption of AUS$4.81 million liabilities and related
placings to raise a total of £26.9 million
- Advising Chaarat Gold Holdings Ltd on the
admission of its entire issued ordinary shares to trading on AIM raising
around £9 million for Chaarat, giving it a market capitalisation of around
£43 million on admission
- Advising WHAM Energy Plc on its takeover
by Venture Production Plc, effected by way of a scheme of arrangement;
and
- Advising ICB Financial Group Holdings AG
(the first Swiss company and third bank to be listed on AIM) on its admission
to AIM and related US$10m pre-admission fundraising giving it a market
capitalisation of US$180m at the pre-admission placing price
- Advising Matrix on the establishment of
21 UK limited liability partnerships to invest in German and Italian windfarm
projects, all related equity, acquisition and project finance arrangements,
continuing general corporate and commercial advice, and subsequently advising
on the refinancing and eventual sale of the LLPs
