Summary
Damian Adams joined Watson, Farley & Williams
in 1997 as a trainee solicitor in the London office, where he qualified
in 1999. In 2000, Damian relocated to the firm's Singapore office,
where he became a partner of the firm in 2008. He specialises in
a range of cross-border corporate and commercial transactions including
mergers and acquisitions, trade sales, joint ventures, shareholder arrangements
and AIM transactions including initial public offerings. He also advises
regularly on structured trade finance transactions, acting for banks and
commodities houses. Damian's practice focuses on the transport and natural
resources sectors.
 
Recent Experience
- Advising a Hong Kong listed shipping group
on joint venture arrangements with Middle Eastern interests to establish
shipping operations in the United Arab Emirates and related loan and third
party security facilities.
- Advising a leading offshore services provider
on the establishment of joint venture operations with Malaysian interests
through a Labuan incorporated vehicle to operate a mobile offshore production
unit in Malaysian waters.
- Advising BW Shipping Managers Pte Ltd on
the purchase of eight 76,000-dwt Panamax product/crude oil tankers from
Germany’s AL Ships for a total purchase price of US$449 million, involving
negotiation of amendments to existing back-to-back sale arrangements and
novation of existing time charter and pool commitments.
- Advising DVB Bank, ING Bank and BTMU Capital
Corporation as lenders of approximately US$870 million of acquisition financing
to BUSS Group to fund the purchase of 60% of Florens Container Holdings’
container portfolio, involving advice on the acquisition and management
documents and negotiating and documentation of the financing facility and
security package.
- Advising The Bank of Tokyo Mitsubishi UFJ,
Ltd, Singapore branch and Bayerische Hypo- und Vereinsbank AG, Singapore
branch in connection with a US$250,000,000 term revolving credit facility
made available to FSL Trust Management Pte Ltd, as trustee-manager of the
First Ship Lease Trust, a registered business trust listed on the Singapore
Stock Exchange engaged in vessel acquisition and leasing activities, to
assist with the expansion of the Trust's existing vessel portfolio.
- Acting for leading independent commodities
trader, Trafigura Beheer B.V., on a fuel oil supply and storage deal with
Malaysia's KIC Oil & Gas Ltd on board the VLCC "Kadriah I",
allowing for expansion of Trafigura's monthly fuel oil trading volume to
approximately 150,000 tonnes, requiring advice on sale & purchase,
financing, security and collateral management aspects of the deal and
coordinating
with all parties in determining the allocation of operational
responsibilities.
